One Agreement - Multiple Parties - Multiple Products - Client Specific Terms and Conditions. The IS2 is an agreement between the Software Developer and InnovaSafe. Licensees are added to the agreement as needed. The IS2 was specifically created to protect Intellectual Property or any other proprietary technology and modifications and/or amendments can be completed at anytime. The IS2 is the most versatile and flexible agreement available.

The IS2-Corporate is a flexible agreement between the Licensee (beneficiary) and InnovaSafe. Developers are added to the agreement as applications are licensed. The agreement can be modified and amended as needed.

The IS2-ns is between the Software Developer and InnovaSafe. Licensees are added to the agreement as needed, but licensee does not need to sign the agreement in order become a qualified beneficiary. InnovaSafe provides prompt notification to the Licensee when they have been added as a qualified beneficiary under the agreement. Like its sister the IS2, the IS2-ns is flexible and versatile and will meet every parties needs.

This agreement is utilized when intellectual property is used as collateral. Companies that want to secure an asset-backed loan will need to identify the specific intellectual property that will be used as the collateral and transferred if the security interest needs to be realized. This is a three (3)-party agreement that is modifiable and accompanied by our complete benefits portfolio.

The IS Discovery provides litigating parties with a facility and an agreement to conduct electronic discovery. The IS-Discovery provides legal counsel and their clients the security in knowing that the information technology, computer files, and or source code are SAFE during the process and that the environment for the discovery operation is properly prepared, staffed and discreet. InnovaSafe will provide a neutral location for discovery of proprietary intellectual property as well as experts that are qualified to perform Electronic Forensic Discovery. You choose. Clients can use only the facility or they can use the facility and employ an InnovaSafe Expert to conduct the actual discovery. This agreement is flexible and requires constant InnovaSafe operational oversight and administration. InnovaSafe does not charge additional fees for Agreement Modifications or amendments on the standard IS-Discovery.

IS Intellectual Property Agreement (IS-IP) is generally a two (2) party agreement between the Intellectual Property Depositor and InnovaSafe. However, it may be modified into a 3-party agreement. This agreement is used when parties need to protect their respective interests in intellectual property other than software source code. The IS-IP is a flexible agreement that provides for constant InnovaSafe operational oversight and includes all standard benefits for no additional fees. Modification or amendment fees are never assessed for the standard IS-IP agreement.

IS Audit Trail (IS-Audit) is a hybrid Agreement. It is a two (2) party agreement between the Depositor and InnovaSafe. Licensees are added to the agreement as they license the technology from the Depositor. Or, Depositors are added as the Licensee adds new Technology Depositors to their agreement. Or it is used by the Depositor only. The IS-Audit provides for time and date stamping of all deposits and supporting documentation that creates a chronological time line of milestone developments. The time and date stamping provides the parties with concrete evidence of ownership and protection against potential trade secret, copyright or patent claims. InnovaSafe does not charge additional fees for Agreement Modifications or amendments on the standard Audit Trail.

IS Domain Name Title Transfer Agreement (IS-DN) allows the Seller and Buyer to execute a domain name title sales and transfer agreement with the peace of mind that a trusted and neutral third party will be implementing the actual title transfer according to the terms of the specifically created sales, transfer and intellectual property risk management agreement. The IS-DN is designed to be flexible and maybe modified by the Seller and Buyer so they may tailor the terms and conditions as required.

The IS2-e and IS3-e are two and three party agreements that are a simple and economical alternative for those Depositors or Licensees requiring a cost effective agreement that provides basic protection. Many of the benefits and services that are included in the standard IS2 and IS3 agreements are now optional and may be added as required. These agreements may be modified, but a fee may apply depending on the changes requested.
